Multiplai Source is a service brought to you by MultiplaiTech. These terms and conditions govern all content, services, and/or products available on our website.

Kindly read these terms and conditions. By registering for, accessing, browsing, and/or otherwise using Multiplai Source, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions. If you do not agree to be bound by these terms, do not access, browse, or otherwise use Multiplai Source.

The use of MultiplaiTech's Multiplai Source is subject to acceptance of these terms and conditions. To accept these, a person or legal entity must have the legal capacity and must be duly authorized to accept these terms and conditions.

You may not, without the consent of Multiplai Tech's Multiplai Source, access the Services:

• For reproduction purposes;
• If you are a competitor of Multiplai Source;
• To monitor the availability, performance or functionality of Multiplai Source; or
• For other benchmarking or competitive purposes.

MultiplaiTech's Multiplai Source can terminate your use for any of the above reasons, or any other valid reason, at our discretion. If you access our Services for the reasons stated above, we may take legal action for compensation.

MultiplaiTech's Multiplai Source reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms and Conditions at any time. Your continued use of our services after such changes have been posted constitutes your binding acceptance of such changes.

4.1 Establishing an Account:

Certain features, functions, parts or elements of Multiplai Source can be used or accessed only by holders of an account. The person who wishes to create an account with Multiplai Source must:

• Complete the Sign-up form;
• Pay the chosen subscription;
• Accept the Terms and Conditions;
• Clients may set up multiple organizations within Multiplai Source and add users as needed for access to each organization. If several individuals need to use the account on behalf of the client, the client must add these individuals as authorized users. If the client has designated additional users, each user will be deemed to act on behalf of the client when using the account. If we are not certain if a user has been granted an authorization, we may prevent such user from accessing the services.

4.2 Logging into an Account

MultiplaiTech's Multiplai Source shall provide each client with a username and password to be used to log into its account. These credentials must not be used by multiple users.

If a client has designated several users, each user will be provided with separate credentials. The client and each of its users are responsible for keeping confidential information and all credentials associated with an account. The customer must promptly notify us:

• Of any disclosure, loss, or unauthorized use of any login credentials;
• Of a user's departure from the client's organization;
• Of a change in a user's role in the client's organization;
• Of any termination of a user's right for any reason.

5.1 Use of Multiplai Source:

Subject to these Terms and Conditions, and the payment of the applicable service fee, Multiplai Source grants client and its authorized users a non-exclusive, non-transferable, non-sub-licensable license to use the Multiplai Source to:

• Collect, store, organize client data, generate reports based on client data, add new users and grant them authorizations, assign activities to user;
• Modify and delete client data;
• Customize the standard features of Multiplai Source;
• Receive reasonable help and guidance from Multiplai Source regarding the use of the services.

MultiplaiTech's Multiplai Source shall provide reasonable technical support to the client and its authorized users at the reasonable request of the client. We shall respond to enquiries for support from a client utilizing the email address we provided as soon as possible. Our support can be reached via multiplaisource@multiplai.tech.

MultiplaiTech's Multiplai Source reserves the right to modify the services of any part thereof from time to time without prior notice, including, without limitation:

• Changing the fees at any time, upon notice to Client if such change may affect Client's existing subscriptions upon renewal. In the event of failure to collect the fees owed by Client, we may, at our sole discretion, retry to collect them at a later time, and/or suspend or cancel the Account, with prior notice.
• Rebranding the Multiplai Source services at our sole discretion.
• Ceasing, providing, or discontinuing the development of any service or part of the platform temporarily or permanently.
• Taking such action as is necessary to preserve Multiplai Source's rights upon any use of the services that may be reasonably interpreted as violation of Multiplai Source's intellectual property rights, distribution of internet viruses, malware, and other destructive or illegal activities.

If the client does not accept the modification, the client shall notify Multiplai Source. The client's continued use of the services, or any part thereof, after the effective date of modification, shall indicate its consent to the modifications. Multiplai Source shall not be liable to the client for any modification, suspension or discontinuance of the services, or any part thereof.

8.1 Subject matter and nature of processing:

MultiplaiTech's Multiplai Source provides the platform where the client, as the data controller, can collect, store, and organize the personal data of data subjects determined by the customer. The platform has been designed to facilitate automated communication, online repository of data, and streamline data handling processes, but the client decides how they use the platform. The level of data usage is related to the package subscribed to by the client and follows limitations.

8.2 Duration:

MultiplaiTech's Multiplai Source will process data on behalf of the client until the termination of the Multiplai Source services in accordance with these terms and conditions. Upon termination, Multiplai Source will store the client's data for a period of 2 years, should the client wish to reopen the account to resume the use of Multiplai Source's services.

8.3 Cloud-based Storage:

Subject to these Terms and Conditions, and the payment of the applicable service fee, Multiplai Source will in no way use these data shared from cloud storage to train LLMs. The data stored in cloud-based systems will be used solely for the provision of services to the client and will remain strictly confidential.

Multiplai Source unequivocally retains full ownership of all intellectual property rights associated with the Product. However, as part of the terms and conditions, the client is granted a limited, restricted, non-exclusive license specifically for the purpose of utilizing the Product solely within its internal business purposes. This service license does not confer any ownership rights to the client, and the use of the Product is strictly limited to the terms outlined herein.

MultiplaiTech's Multiplai Source explicitly disclaims any liability for indirect, incidental, consequential, or punitive damages arising out of or in connection with the terms and conditions. Furthermore, under no circumstances shall our total liability exceed the total fees paid by the client pursuant to this service agreement. This limitation of liability applies regardless of the claim nature, whether in contract, tort, or otherwise, and shall survive this service agreement's termination.

The fees to access the MultiplaiTech's Multiplai Source shall be according to the Subscription Plans chosen. Below are the subscriptions.

The fees to access and use MultiplaiTech's Multiplai Source are set out on the invoice you receive. Subscriptions are by default entered into for monthly or annual subscription terms and renewed for the duration of the previous subscription term upon prior notice of renewal from you.

Unless stated otherwise on the invoice, fees shall be payable by the client at the beginning of each subscription term, or in the manner as set out in the invoice and in the currency identified on the invoice.

MultiplaiTech's Multiplai Source ensures that persons authorized to process the personal data have committed themselves to confidentiality. We make available all information necessary to demonstrate and allow for and contribute to audits, including inspections, conducted or mandated by the user as the data controller. This will be provided at the user's expense.

All authorized users may use our services and any part thereof only in the scope, with the means and for purposes as identified in these Terms and Conditions and applicable laws. The following acts shall be prohibited:

• Use of Multiplai Source or any part thereof to commit a crime, breach any applicable law or entice others to carry out such illegal actions;
• Copy, duplicate, distribute, modify, adapt, hack, create derivative works, decompile the services, or attempt to extract the source code thereof.

The user may not, without the MultiplaiTech Multiplai Source's written consent:

• Sell, resell, lease, license, sublicense, distribute, provide, disclose, divulge, or otherwise grant access or make Multiplai Source available in whole or in part to any third person, unless such third person is another authorized user of the same client.
• Use Multiplai Source or any part thereof in a scope, with means or for purposes other than those for which their functionality was created;
• Use Multiplai Source or any part thereof by means of programs that send automatic enquiries or requests, unless such program has been made available by Multiplai Source.

MultiplaiTech's Multiplai Source takes the privacy of its Clients and Users very seriously. The Privacy Policy is available on https://rea.pro/. Please read the Privacy Policy carefully as it governs MultiplaiTech Multiplai Source's collection, use, and disclosure of Client's or User's personal information.

Both parties agree to adhere to all relevant laws and regulations of the Philippines in connection with the use of the services, encompassing, albeit not exclusively, export control laws and regulations. The obligation extends to ensuring full compliance with all legal requirements governing the execution and performance of the terms and conditions. Each party shall undertake reasonable efforts to ensure that its activities conducted in relation to the terms and conditions are conducted in strict accordance with the applicable laws and regulations. Any dispute arising out of or in connection with these terms and conditions shall be resolved through the Philippine Law on Arbitration.

In case of any dispute arising out of or in connection with these terms and conditions, the parties agree to undertake efforts to resolve such dispute through amicable negotiations. If the dispute cannot be resolved amicably, it shall be submitted to mediation. Should mediation fail to yield a resolution, the parties further agree to resort to binding arbitration, conducted in accordance with the Philippine Rules on Arbitration. The decision rendered by the arbitrators shall be final and binding upon both parties and shall be enforceable in accordance with the applicable law.

We may terminate or suspend your account and access to our services at any time, without prior notice, for conduct that we believe violates these terms and conditions or is harmful to other users of our services.

The services shall start on the effective date of the client's acceptance and continue until the initial one-year term. This agreement may be renewed or terminated by the parties at the end of the term by providing thirty (30) days written notice of intent to terminate or renew the services. Upon termination, client shall cease all use of the Product and return or destroy any confidential information.

Either party may terminate this Agreement at any time, upon written notice to the other party if:

• The other party breaches any material term of this Agreement and fails to cure such breach within thirty (30) days after receiving written notice of breach from the non-breaching party.
• The other party becomes insolvent, makes a general assignment for the benefit of creditors, or suffers, or permits the appointment of a receiver for its business or assets.
• The other party's files for any form of bankruptcy or insolvency, or such proceedings are instituted against it and are not dismissed within sixty (60) days.
